Bomvec Partner Program - Terms and Conditions
Last Updated: August 12, 2025Welcome to the Bomvec Partner Program (the "Program"). This Agreement describes the terms and conditions for participation in the Program. The terms "Bomvec," "we," and "our" refer to Bomvec, and "you," "your," and "Partner" refer to you, the applicant to the Program.By applying to the Program, you agree to be bound by the terms of this Agreement.1. Enrollment in the Program
To begin the enrollment process, you must submit a complete and accurate Program application. We will evaluate your application and notify you of your acceptance or rejection. We may reject your application for any reason, at our sole discretion.2. Partner Responsibilities
As a Partner, you agree to:Promote Bomvec's services in an ethical and professional manner.Use only marketing materials and links provided or approved by Bomvec.Not engage in any form of spamming or unsolicited commercial email.Not make any false or misleading representations about Bomvec's services or pricing.Ensure that all information provided to us, including your contact and payment details (Wisetag), is accurate and kept up-to-date.Comply with all applicable laws and regulations, including those related to marketing and data privacy.3. Commission and Payment
Commission Rate: You will receive a flat commission of 8% of the net subscription revenue generated from each new customer you refer to Bomvec (a "Referred Customer").Recurring Payments: This commission is recurring. You will continue to receive the 8% commission for every month the Referred Customer remains an active, paying subscriber to Bomvec's services.Payment Schedule: Commissions are calculated and paid out on a monthly basis, within 30 days of the end of each calendar month.Payment Method: All commission payments will be made via Wise to the Wisetag you provide in your application. It is your responsibility to maintain an active Wise account. Bomvec is not responsible for any payment failures due to incorrect or outdated payment information.Qualified Referrals: A referral is only qualified if the customer signs up and makes their first successful payment. Commissions are not paid on refunds or fraudulent transactions.4. Term and Termination
The term of this Agreement will begin upon our acceptance of your application and will end when terminated by either party.You may terminate this Agreement at any time, with or without cause, by giving us written notice.We may terminate this Agreement at any time, with or without cause, by giving you written notice.Upon termination, you will be eligible to receive commissions earned on qualified referrals made prior to the termination date. Commissions will cease if this Agreement is terminated due to a breach of its terms by you.5. Relationship of Parties
You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.6. Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.7. Governing Law
This Agreement will be governed by the laws of Brazil and the state of Rio de Janeiro, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Cabo Frio, Rio de Janeiro, and you irrevocably consent to the jurisdiction of such courts.8. Modification
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. We will notify you by email. If any modification is unacceptable to you, your only recourse is to terminate this Agreement.
